2. Our Services
LemonTalks provides performance marketing and digital marketing services to real estate developers and related businesses in India and the UAE, including:
- Google Ads campaign management (Search, Display, Performance Max, Call Ads)
- Meta Ads campaign management (Facebook and Instagram)
- Real estate SEO services
- Website design, development, and maintenance
- Brand and positioning strategy
- Lead generation services
- Performance and growth consulting
The specific scope, deliverables, timelines, and fees for each engagement are governed by a separate Service Agreement or Proposal. In case of any conflict between these Terms and a Service Agreement, the Service Agreement shall prevail.
3. Fees and Payment
3.1 Currency
Fees for clients in India are quoted and payable in Indian Rupees (INR), exclusive of GST at the applicable rate. Fees for UAE clients are quoted and payable in UAE Dirhams (AED), exclusive of UAE VAT at the applicable rate (currently 5%).
3.2 Payment Schedule
Unless otherwise agreed in the Service Agreement:
- Monthly retainer fees are payable in advance at the start of each month.
- Project-based fees are payable per the milestone schedule in the Service Agreement.
- Ad spend budgets are payable in advance before campaign activation.
3.3 Late Payment
If any invoice remains unpaid beyond the due date, LemonTalks reserves the right to pause all active services, charge interest at 18% per annum (India) or 12% per annum (UAE) from the due date, and terminate the Service Agreement per Clause 7.
4. Client Responsibilities
The client agrees to:
- Provide timely access to ad accounts, website credentials, analytics platforms, and any other tools required to perform the services.
- Provide accurate, complete, and up-to-date information about the project, target audience, and marketing objectives.
- Ensure all content, images, project details, and marketing claims provided to LemonTalks are accurate, truthful, and legally compliant.
- Review and approve campaign materials within agreed timelines — delays in client approvals may affect campaign launch dates and LemonTalks shall not be liable for such delays.
- Maintain a qualified and responsive sales team to follow up on leads generated. LemonTalks delivers leads; the client is responsible for lead follow-up and conversion.
5. Regulatory Compliance — India
Clients operating in the Indian real estate market are solely responsible for ensuring their projects and marketing activities comply with:
- The Real Estate (Regulation and Development) Act, 2016 (RERA) — including valid RERA registration for all projects advertised. The client must provide the RERA registration number for inclusion in all advertisements as required by law.
- The Consumer Protection Act, 2019 — all marketing claims must be truthful and not misleading.
- The Advertising Standards Council of India (ASCI) guidelines for real estate advertising.
- Applicable state RERA authority rules for each state in which the project is located.
LemonTalks shall not be responsible for any RERA non-compliance, penalty, or consumer complaint arising from the client's project or the content provided by the client for advertising.
6. Taxes — India
All fees are exclusive of Goods and Services Tax (GST), which will be charged at the applicable rate (currently 18% for marketing services). The client is responsible for any applicable TDS deductions and must provide valid TDS certificates within the statutory timelines. LemonTalks will provide GST-compliant tax invoices for all services rendered in India.
7. Regulatory Compliance — UAE
Clients operating in the UAE real estate market are solely responsible for ensuring their projects and marketing activities comply with:
- Dubai Land Department (DLD) and Real Estate Regulatory Agency (RERA Dubai) regulations, including valid developer and project registration before advertising.
- Abu Dhabi Department of Municipalities and Transport (DMT) regulations for Abu Dhabi projects.
- The UAE Consumer Protection Law (Federal Law No. 15 of 2020) — all marketing claims must be accurate and not misleading.
- Regulations of the National Media Council (NMC) governing advertising content in the UAE.
- RERA Dubai's requirement that off-plan property advertisements include the Oqood registration number and DLD approval.
LemonTalks shall not be liable for regulatory non-compliance arising from the client's failure to obtain required approvals or from inaccurate project information provided by the client.
8. Taxes — UAE
All fees for UAE clients are exclusive of Value Added Tax (VAT) at the applicable rate (currently 5%) under Federal Decree-Law No. 8 of 2017 on VAT. LemonTalks will issue VAT-compliant tax invoices for all UAE services. The client is responsible for all applicable UAE taxes on their side of the transaction.
9. No Guarantee of Results
LemonTalks does not guarantee any specific number of leads, impressions, conversions, search rankings, bookings, or revenue. Performance figures referenced on our website (such as average CPL) are historical averages and are indicative only. Actual results vary based on project type, market conditions, ad spend, creative quality, sales team responsiveness, and platform algorithms — all of which are partially or wholly outside LemonTalks' control.
10. Third-Party Platforms
Our services involve Google Ads, Meta (Facebook and Instagram), and other third-party platforms. These platforms have their own terms of service and advertising policies. Campaign performance is subject to platform algorithms and policy changes outside LemonTalks' control. LemonTalks is not liable for account suspensions caused by the client's content or business practices.
11. Intellectual Property
- All content on www.lemontalks.in — including methodologies, templates, and frameworks — is the intellectual property of LemonTalks and protected under applicable Indian and UAE IP law.
- The client retains ownership of all project materials provided to LemonTalks. By providing such materials, the client grants LemonTalks a licence to use them solely for delivering the agreed services.
- Campaign deliverables (creatives, landing pages, SEO content) become the property of the client upon full payment of all outstanding fees.
- LemonTalks reserves the right to reference the client's name, project name, and results in our portfolio and case studies unless the client objects in writing.
12. Confidentiality
Both parties agree to keep confidential all non-public information received from the other party — including business strategies, campaign data, pricing, and client lists — and not to disclose it to any third party without prior written consent, except as required by law or to deliver the services. This obligation survives termination.
13. Term and Termination
- Either party may terminate the Service Agreement by providing 30 days' written notice (unless otherwise specified in the Service Agreement).
- LemonTalks may terminate immediately if the client fails to pay within 14 days of the due date, provides false information, or requests services that violate applicable law.
- Upon termination, fees accrued up to the termination date are immediately payable. Campaigns will be paused within 2 business days. Account access will be transferred within 14 business days.
14. Limitation of Liability
To the maximum extent permitted by applicable law, LemonTalks' total aggregate liability for any claim shall not exceed the total fees paid by the client in the 3 months immediately preceding the event giving rise to the claim. LemonTalks shall not be liable for any indirect, consequential, or special damages, loss of profit, or loss of business.
15. Indemnification
The client agrees to indemnify LemonTalks, its directors, employees, and agents against any claims, losses, penalties, or expenses arising from: the client's breach of these Terms; false or legally non-compliant content provided by the client; the client's violation of RERA (India), DLD/RERA Dubai (UAE), or any other applicable law; or any third-party claim arising from the client's real estate project or business.
16. Dispute Resolution
16.1 India Clients
Disputes shall first be attempted to be resolved amicably within 30 days. If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Gurugram, Haryana. Governing law: Laws of India. Courts in Gurugram shall have exclusive jurisdiction for non-arbitrable matters.
16.2 UAE Clients
Disputes shall first be attempted to be resolved amicably within 30 days. If unresolved, disputes shall be referred to arbitration under the DIAC Arbitration Rules (Dubai International Arbitration Centre), with the seat of arbitration in Dubai. Governing law: Laws of the UAE and Emirate of Dubai. Courts in Dubai shall have exclusive jurisdiction for non-arbitrable matters.
17. Amendments
LemonTalks reserves the right to amend these Terms at any time. Material changes will be communicated by email or website notice. Continued use of our website or services after updated Terms are published constitutes acceptance.
